Good morning, it’s Thursday, May 3, 2007 and this is your first early morning briefing.
Cablevision Systems Corp. has accepted the Dolan family offer to buy back shares in Cablevision for $36.26 per share, a move that will take the company private again for a total price tag of $10.5 billion. Cablevision, including outstanding debt, is currently, valued at $22 billion, tho many financial analysts suggest the price is too low. And yet, low or otherwise, it represents a 34% premium to the Dolan family’s first offer of $27 per share last October and a 21% increase to its second $30 per share offer in January, both of which were rejected by the special committee earlier this year. This new offer equals an 11% premium to Cablevision’s May 1 closing share price of $32.67 per share. The transaction requires approval by a majority of Class A shareholders who own shares not held by the Dolans and the deal is subject to certain regulatory approvals.

Golf Channel will debut Fore Inventors Only, a new reality competition series on July 10 at 10p. The eight-episode original production, hosted by Vince Cellini, will highlight 120 inventors who will compete to see which item will get product shelf space with a major golf retailer and a chance to market their product on the Golf Channel.
Outdoor Channel will air exclusive coverage of eight Professional Rodeo Cowboys Association rodeo events every Wednesday night at 11p and each Saturday at 130p starting May 2 through September 26.
E! will debut a soapy new reality series later on this month called Sunset Tan, set in a tanning salon. The first of six episodes is scheduled to debut on Monday, May 28 at 1030p, in the lead-out position to the premiere of the new season of The Simple Life with Paris Hilton and Nicole Richie, per Variety. Thereafter, Sunset Tan will air on Sunday nights at 1030p. Sunset Tan is from Intuitive Entertainment.
Discovery’s Planet Earth series ended this past Sunday night and through its 11 episode run averaged a 3.0 HH rtg. The two highest rated episodes were Mountains earning a 3.8 HH rtg, and Ice World with a 3.7 rtg.
Crown Media Holdings, Inc., owner and operator of Hallmark Channel, has renewed its distribution agreement with the National Cable Television Cooperative (NCTC) in a new multi-year agreement. The terms include allowing Hallmark Channel continued access to NCTC’s 1,100 member companies.
NRG Media, LLC has sold the Sioux City, IA radio stations, KKYY-FM and KZSR-FM, to Powell Broadcasting Company, Inc. for $4.2 million. Cedar Rapids, IA-based NRG Media retains radio stations in Iowa, Nebraska, Wisconsin, Illinois, Kansas, South Dakota and Minnesota. Powell Broadcasting, based in Baton Rouge, owns four other radio stations in Sioux City.
SOAPnet will begin production this month on ten one-hour episodes of The Fashionista Diaries, a new reality series that will premiere in July. The series will follow six assistants from Flirt Cosmetics, Jane magazine and Seventh House PR, as they work together to produce Charlotte Ronson’s Fashion Show and After Party during New York’s Fall Fashion Week 2007. The series is produced by Buena Vista Productions in association with Go Go Luckey Productions and Hour One.

As a result of the recent restructuring of its cable networks, digital properties and entertainment divisions for kids and young adults, Turner Broadcasting System, Inc. has appointed Stuart Snyder as EVP/COO of Animation, Young Adults and Kids Media, and the new head of cable networks Cartoon Network, Boomerang and Adult Swim. Also added to his duties are oversight of digital assets Cartoonnetwork.com, AdultSwim.com, Toonami Jetstream, Cartoon Network Video, GameTap and Super Deluxe; as well as two animation production studios: Cartoon Network Studios in Burbank and Williams Street Studios in Atlanta. Stuart will also work with Turner Broadcasting System International on programming to further advance Cartoon Network Asia Pacific, Cartoon Network Europe, Cartoon Network Latin America and Caribbean and Cartoon Network Japan. Based in Atlanta, Stuart will report to Mark Lazarus, President, Turner Entertainment Group.
Brock Abernathy has been promoted to the position of LSM at WUTB/Baltimore, the MyNetworkTV affiliate owned by FOX Television Stations group. He will lead in all areas of local sales and will report to Alan Sawyer, VP/GM.
marblemedia has added Jennifer Michie as Creative Director for its interactive team. Jennifer will lead the design team on several projects including the creation of an interactive portal for Magee TV’s Smart Woman’s Survival Guide.
MSG Media has announced several appointments in MSG and FSN New York’s programming and production divisions:
- Melissa Chusid has been named Director/Talent Relations and Development to create new programming and opportunities, scout for new potential on-air talent for MSG and schedule celebrities for MSG shows and events.
- Staci Dunbar has been hired as Senior Coordinating Producer/Original Programming, Features and Post Production to manage all feature and original programming content for MSG.
- Jeff Filippi will become Senior Coordinating Producer/MSG Remote and Classic Programming to supervise all of MSG’s remote productions and talent.
- Denise Giordano has been upgraded to Director/Programming and Acquisitions where her main duties will include the preparation and maintenance of telecast schedules for MSG and FSN New York, in addition to negotiating the rights to new events and shows for both networks.

TUESDAY – A18-49 Analysis: FOX maintained its dominant lead Tuesday night with an overall 9.3/24 A18-49, according to fast affiliate ratings from Nielsen Media Research. The next three networks bunched together as CBS was second at 2.8/7, then ABC 2.7/7 and NBC 2.6/7, followed by UNIV 1.7/5, CW 1.4/4 and TELE 0.4/1. FOX let loose with an enormous one-two punch starting with American Idol winning at 8p with 9.7/28, and then House during 9p finishing first with 8.9/22. Things shifted at 10p this week, as NBC’s Law & Order: SVU was #1 with 4.0/11.
