Not so fast: Twitter’s board of directors went into a full-court press on Friday. The board unanimously adopted a limited duration shareholder rights plan, also called a poison pill, following Elon Musk’s unsolicited proposal to acquire the platform. The move reduces “the likelihood that any entity, person or group gains control of Twitter through open market accumulation without paying all shareholders an appropriate control premium or without providing the Board sufficient time to make informed judgments and take actions that are in the best interests of shareholders,” according to Twitter. In short, it makes a hostile takeover very complicated. Musk last Thursday in a letter to the board made what he deemed a final offer to buy Twitter for $54.20 a share, which valued the platform at $43 billion. The newly adopted rights plan runs for one year and “does not prevent the Board from engaging with parties or accepting an acquisition proposal if the Board believes that it is in the best interests of Twitter and its shareholders,” the company stated.

Turner Classic Movies is broadening its partnership with The Film Foundation via a multiyear financial commitment to fund education and restoration of classic movies. The world premiere of newly restored George Stevens Warner Bros. film “Giant” will be featured at the TCM Classic Film Festival as part of the partnership, preceded by a conversation hosted by TCM’s Ben Mankiewicz with The Film Foundation board member Steven Spielberg, exec director Margaret Bodde and George Stevens Jr.

Paramount Chief Bob Bakish’s total compensation dropped to $20 million in 2021 from $38.9 million the prior year according to a company SEC filing. Among his personal earnings, Bakish had a base salary of $3.1 million and nonequity incentive plan compensation. In 2020, he received a $15.9 million stock award, according to the company’s annual proxy statement.

Hallmark Channel crowned the winner of its inaugural #1 Fan Contest. Taborah Adams of Carey, NC, scored the official title of chief fan officer, a salary of $10,000 and a future movie premiere screening party in her hometown.

Discovery+ unveiled several series debuting or re-airing April 15-24, timed around Earth Day. Among them are “Chasing Ocean Giants,” an eight-ep series that uses state-of-the-art exploration technology to help scientists decipher the mysteries of the ocean’s giants, and seven-ep “Action Planet Climate Challenge,” exploring how some of the world’s most well-known figures inspiring audiences to take action. Each 8-12-minute episode features an interview with a high-profile activist, including Matt Damon discussing his Water.org, Jane Fonda on Fire Drill Fridays and Adrian Grenier on Lonely Whale. “Endangered,” exec-produced and narrated by Ellen DeGeneres, follows the effort of dedicated wildlife conservationists across the globe.

On Discovery, “Judi Dench’s Wild Borneo Adventurefeatures the Dame and conservationist David Mills on a trip to the lush rainforests and coastlines of Malaysian Borneo; “Mysterious Planet,” narrated by David Schwimmer, combines humor with the awe and beauty of the natural world; and “The Story of Plastic” is an Emmy-winning doc that looks at the man-made crisis.

“The Wonder List with Bill Weir” returns for a new season on CNN+ on Thursday, April 21. Across four episodes, the series led by CNN’s chief climate correspondent brings viewers to fascinating locations at a critical crossroads brought on by climate change.

Eight-episode limited series “The Staircase,” created by Antonio Campos (“The Devil All the Time”) and starring Colin Firth and Toni Collette, debuts Thursday, May 5 on HBO Max with an initial three eps. Inspired by a true story, the series explores the life of Michael Peterson, his sprawling North Carolina family, and the suspicious death of his wife, Kathleen Peterson.

COMING UP

FutureDude Entertainment will debut “Oceanus: Act One” on sci-fi streamer Dust today (April 18). The film, which stars Sharif Atkins (“Guardians of the Galaxy”), Bruce Davison (“X-Men”), Megan Dodds (“For All Mankind”) and Malcolm McDowell (“Star Trek: Generations”), is set in the year 2029, when a breakthrough in whale/human communication is at a hand.

Ahead of Earth Day, Vision Films will release “Eating Our Way To Extinction,” a documentary Amazon will be promoting April 18-22 during Amazon Prime’s Earth Day Campaign. Narrated and exec-produced by Kate Winslet, the doc showcases how simple changes to the way we eat can help halt catastrophic climate change and restore our planet and challenges how viewers look at the food industry.

National Geographic’s Earth Day premieres available for streaming on Disney+ on Friday, April 22 include “Explorer: The Last Tepui,” in which Alex Honnold (“Free Solo”), Mark Synnott, and a team led by Nat Geo Explorer attempt to ascend a 1,000-foot sheer cliff in the Amazon. Also: “The Biggest Little Farm: The Return,” the follow-up that revisits John and Molly Chester as they toil to revive a dried-up farm.

CNN Films released the first trailer and set a Sunday, April 24 premiere date for “Navalny,” director Daniel Roher’s documentary about Russian dissident Alexei Navaln. CNN will air the feature commercial-free starting at 9p. The Russian government opposition leader survived an assassination attempt by poisoning less than two years ago.

TECH TALK

Fans of music and celeb-dom were able to watch Harry Styles, Billie Eilish and more performers at the Coachella festival, which returned this past weekend after a two-year absence, via YouTube livestreams of the event. The video service offered three channels, each with a separate schedule of performers, and will do the same for weekend 2.

Jerry Seinfeld was among members of Hollywood who shared remembrances of Liz Sheridan, who died Friday, April 15 at age 93.
