Last week, Bloomberg became the first publication to report on merger talks between AT&T and Time Warner, calling the conversations informal. It looks they weren’t so informal after all. As you’ve probably heard by now, AT&T has agreed to buy the media giant. The acquisition price: $85.4 billion in cash and stock. For a while there it seemed that Verizon was more interested in acquiring media content than any other telco; that now changes in a very big way. Assuming the deal goes through (it could take a year to clear regulatory hurdles, and voices as disparate as Donald Trump and Democratic senator Al Franken oppose the merger), AT&T will own Turner’s cable networks, HBO, Warner Bros., and a stake in Hulu. The telco already owns DirecTV.
The lines between digital and linear continue to blur. Dish Network’s Hopper 3 DVR is now offering access to YouTube. That makes Dish the first nationwide U.S. pay-TV provider to do so. The Hopper 3 YouTube app offers YouTube’s standard video offerings, as well as the YouTube Red SVOD service (if you happen to be a subscriber).
Comcast has launched a new tech division. The unit, called Comcast Technology Solutions, was formed by the combination of three existing Comcast tech units – Comcast Wholesale, thePlatform, and This Technology. Comcast Technology Solutions’ area of focus will include IP Video, online video publishing, and multi-platform broadcasting. The unit will also underpin the People/Entertainment Weekly Network (PEN), Time Inc.’s recently launched ad-supported video service.

Facebook has launched a major new ad campaign promoting its live-streaming service in the U.S. and U.K. The campaign for Facebook Live, which kicked off yesterday, will consist of TV and out-of-home ads (including bus wraps and billboards), as well digital ads both on and off Facebook. Facebook says that the campaign was created by The Factory, the company’s in-house creative team. Facebook has made a furious effort to draw users to Facebook Live this year, going so far as to pay influencers and media companies to use the service. The breadth of the new ad campaign is extremely unusual for Facebook (for instance, the company hardly ever advertises its wares on TV). But the company views Facebook live as a major opportunity to pull in more ad dollars – so long as it can gain a significantly wider user base.
VIRTUAL + AUGMENTED REALITY
Google has opened up pre-orders for Daydream View, the headset for its new mobile-based Daydream virtual reality platform. The headset, which can be pre-ordered through Google’s web store, costs $79. It’s slated to ship within the next two or three weeks.

Last week, Recode reported that Snapchat wants to change its revenue model, with Discover content partners receiving a flat license fee instead of ad revenue. YouTube, Dailymotion and the like can breathe a sigh of relief. The French parliament has ruled against a bill, passed by the lower house’s finance committee earlier this month, that would have imposed a 2% tax on the ad revenue of digital video platforms. The bill had been nicknamed the “YouTube tax.”
PUBLISHERS AND MULTI-CHANNEL NETWORKS
Fandango announced that Fandango Movieclips, the company’s YouTube channel for movie trailers, has surpassed 10 million subscribers. Fandango says that the channel averages 442 million video views monthly, with 71% of views coming from viewers age 18 to 34. Fandango is majority-owned by NBCU.
