Reunited: It’s been a rocky road, but the long-awaited reunion of CBS and Viacom is officially in underway, with Viacom CEO Bob Bakish set to lead the new combined company, ViacomCBS, as president/CEO and Joe Ianniello, who for the past year has served as president and acting CEO of CBS, becoming chairman/CEO of CBS. Shari Redstone will become chairman of the new company – a position her father held until early 2016. The merger is expected to close by year’s end and form a combined enterprise that will have about $28 billion in revenue. Here’s what you need to know, at our deadline:
 
* The companies together have 140,000-plus TV series episodes and 3,600 films. ViacomCBS says its combined platforms account for 22 percent of all television viewing in the US, which places it ahead of Comcast (18 percent) and Disney (14 percent).
* Combined, the companies have 750 series ordered to production. They’ve spent a total of $13 billion on content during the past 12 months for programming across CBS’ local and national platforms, Showtime, Viacom’s cable and international networks and Paramount Pictures.
* ViacomCBS will have a global reach of more than 4.3 billion cumulative TV subscribers in more than 180 countries.
* The combined company projects $500 million in synergy savings within two years via the elimination of overlapping corporate operations and other initiatives.
* The new 13-member Board of Directors will comprise six CBS appointees, four from Viacom plus Bakish, Redstone and another board member designated by National Amusements.
* Once the deal closes, current CBS shareholders will own 61 percent of the combined company.
* Wall Street’s reaction to the merger was pretty much a non-reaction. CBS gained just shy of 2 percent; Viacom climbed nearly 2 percent as well.
 
Nevertheless, Bob Bakish, the Viacom CEO who will become CEO of ViacomCBS once the merger closes, stressed during a 40-minute investor call Tuesday that the reality of the deal transforms the operating environment. “It takes a big uncertainty off the company, which has been an overhang,” Bakish said. Both companies, he added, enter the marriage on an upswing. “One of the benefits is going to be the financial shape that we’re going to be in,” Bakish said. In one of the call’s many bursts of polysyllabic exuberance, he anointed the merged entity a “very strong, global, multiplatform premium content company.”
 
What’s it all mean? “This merger is about creating scale in a market that’ moving from traditional TV distribution to streaming. It’s about creating a stronger foothold in both camps. For traditional TV distribution that is a declining market, this deal means better leverage in negotiation with pay TV providers and overall bigger share of cable fees,” Gideon Gilboa, SVP, Product & Marketing, Media & Telecom at Kaltura, tells Cynopsis. As for streaming video, where the growth is highly competitive, “This deal means differentiation,” adds Gilboa. “First in terms of content selection with enough diversification to attract young audiences who tend to use streaming more regularly, in terms of marketing and brand power and in terms of a combination of business models including ad and subscription based products. Who will win the streaming wars is still very hard to say but this merger puts the two companies in a better starting position.”

Denis Leary (Rescue Me, Animal Kingdom) is set to topline a six-part Fox holiday comedy series set to air in December from CBS TV Studios, which will co-produce with Fox Entertainment. Based on the Australian series of the same name, A Moody Christmas is penned by Bob Fisher, Rob Greenberg and Tad Quill, and centers on the Moody family, whose members gather for the holidays with their eccentricities and complications in tow.
 
Pyros, an adaptation of the Thomas Pierce sci-fi short story Tardy Man, has landed at Netflix, with Reese Witherspoon attached to star in the film and produce alongside Simon Kinberg. Pierce will pen the script based on his story, which centers on a group of augmented people who are fitted with indestructible fire suits fused to their spines so they can recover objects for wealthy people when their houses are burning.   
 
In other Netflix news, the streamer ordered 10 eps of mother/daughter coming of age series Ginny & Georgia, with newcomer Antonia Gentry (Candy Jar) and Brianne Howey (The Passage) in the lead roles. From creator Sarah Lampert, showrunner Debra J. Fisher and director Anya Adams, series follows awkward 15-year-old Ginny Miller, who has to navigate a prestigious school, rising popularity and complicated love interests when her 30-year-old mother decides to put down roots in a picturesque New England town… Netflix  and A+E Networks‘ UK channel Crime & Investigation also renewed Znak & Co.‘s true crime doc series I Am A Killer for a second season. Series, which features in-depth interviews with some of the longest-serving death row prisoners in the US, will get another 10-ep run.
 
Ernest Hemingway memoir A Moveable Feast is headed for TV in an adaptation by Village Roadshow Entertainment Group, Mariel Hemingway, John Goldstone, and Marc Rosen. The group signed a deal to produce a series based on the book, originally published in 1964. Alix Jaffe, VREG EVP, television, will oversee the project with Jillian Apfelbaum, EVP, content, and Adam Dunlap, VP, television.
 
Zombie Fallout, the darkly comic book series by Mark Tufo, is headed to TV in a project from producer Steven Adams and marketing exec Theo Dumont from Buffalo 8, who are teaming with Tufo and exec producers Brad Thomas and Weston Scott. Book series comprises 14 books, audiobooks and graphic novels that follow a community of heroes, monsters, cowards and misfits struggling against a world dominated by zombies.
 
Israeli broadcaster Yes ordered the dramedy Fifty from Betipul writer Yael Hedaya and Daphna Levine, who co-created Euphoria. Eight-part series from Endemol Shine Israel tells the story of a 49-year-old widowed screenwriter struggling to raise her three children, who sets two goals to achieve before she turns 50: Sign a development deal for a comedy series she wants to write about 50-year-old women, and to have sex.
 
In a deal valuing the company at close to $100 million, private equity firm LDC invested for a minority equity stake in Plimsoll Productions, which will continue to be led by CEO/founder Grant Mansfield. Headquartered in Bristol, Plimsoll is one of the largest indie television production companies in the UK, specializing in wildlife, documentary, live and factual entertainment shows including Hostile Planet with Bear Grylls and Yellowstone Live, which both air on National Geographic.
 
NEW & RETURNING SERIES
 
Premiering Tuesday, September 3 on FX, Mayans M.C. is the next chapter in Kurt Sutter’s Sons of Anarchy saga. Second season is set six-eight months after the season 1 finale.
 
Over at AXS TV, series Wow – Women of Wrestling returns for its 24-ep second season on a new night and time, premiering Saturday, September 7 at 8p. Then, new classic rock series Mixtape premieres Thursday, September 12 at 8:30p with Foreigner’s Mick Jones & Kelly Hansen.  
 
The first two episodes of WNET’s Great Performances: Now Hear This kick off Friday, September 20 on PBS stations nationwide, while the first episode of the new season of Nature, the series’ 38 run, debuts Wednesday, October 2. 
 
The McLaughlin Group is headed back to PBS stations across the country early next year. The long-running political commentary show resurfaced last year on WJLA-TV Washington DC, with host Tom Rogan and other show veterans Pat Buchanan, Eleanor Clift and Clarence Page. Maryland Public Television will begin airing the revived show exclusively on Friday, September 6 and will distribute it to PBS outlets nationwide beginning in January.
 
The eight-episode US premiere of season 9 of Doc Martin will bow on streaming service Acorn TV in September, with the exact date TBD. A new episode will premiere weekly the day after the soon-to-be-announced UK premiere.
 
COMING UP
 
Baby you can drive my car, again. CBS will rebroadcast primetime special Carpool Karaoke: When Corden Met McCartney Live From Liverpool on Monday, August 19 at 10p. Special is nominated for five Emmys.
 
TV One will air The African Pride Gospel Superfest on Sunday, August 25 at 7p. Held at the Schuster Performing Arts Center in Dayton, Ohio, the 19th annual celebration that will bring together gospel recording artists and celebrities will get an encore presentation at 8p.
 
Led by Jim Nantz, Tony Romo and Tracy Wolfson, who will call CBS’ marquee game each week, The NFL on CBS heads into its 60th season broadcasting the NFL. First game will be September 8, Cleveland Browns vs. Tennessee Titans.
 
History will commemorate the tragic events of September 11, 2001 with new two-hour doc 9/11: Inside Air Force One, premiering Tuesday, September 11 at 9p. Special takes viewers aboard Air Force One and into the cockpits, command centers and underground bunkers across the country on one of the most challenging, confusing and terrifying days in American history.
 
American Son will debut on Netflix November 1, following its world premiere at the Toronto International Film Fest. Starring Kerry Washington, film is a gripping story of an interracial couple trying to find their missing teenage son.
 
TECH TALK
 
Twitter will begin curating tweets around a number of popular topics users can then follow, in a move to enable users to as easily engage with topics as they do people on the platform. Users will get see relevant tweets to topics they follow appear in their timeline.
 
The U.S. Trade Representative will delay tariffs on a broad slate of consumer electronics products imported from China until December 15 – a reprieve for companies including Apple, Roku and Sony that will avoid the extra fees during the holiday selling season. Due to security concerns, select other products will be permanently exempt from the new round of tariffs.
 
Second Chances With Jason Nash debuts this week on Comedy Central’s YouTube channel with first ep titled “Jason Nash Confronts His Internet Bully.” Episode 2, “Jason Nash Learns How to Fight,” will premiere Tuesday, August 20th at noon.
 
FuboTV is launching fubo Sports Network on the Roku Channel. The move further expands distribution of the live, free TV network for sports fans.
 
PODCAST POSTS
 
Group Nine Media and iHeartMedia announced an exclusive slate of portfolio-wide, co-produced podcasts to join the iHeartPodcast Network. New programming will include at least one podcast from each of Group Nine’s brands NowThis, The Dodo, Seeker and Thrillist, as well as one from JASH, which is part of the media company’s Studios team. Partnership kicks off with two new original podcasts from NowThis and Thrillist, slated to launch this fall. All podcasts will be overseen by Mickey Meyer, president of network, and Brett Kushner, VP of new initiatives, at Group Nine, and exec-produced by Mangesh Hattikudur, head of development at the iHeartPodcast Network.

The finale of Telemundo’s Betty en NY averaged 808,000 A18-49, 352,000 A18-34, and over 1.7 million in total viewers and was the #1 program in primetime, regardless of language, in LA, New York, Miami and Dallas among A18-49.
 
Sunday’s season four premiere of Universo’s The Riveras averaged 81,000 viewers among A18-49 and 128,000 total viewers.
 
In syndicated news, despite featuring nothing but previously aired eps all week and not being seen on the 28 CBS-owned and -operated stations on DirecTV, Judge Judy (5.8 live plus same day national rating, up 2% from the week before) outperformed all syndicated shows for the third time in four weeks in the session ended August 4. Dr. Phil (2.1, up 5%) also had a good frame, leading the talk shows for the 152nd week in a row. Live with Kelly and Ryan (1.9, steady) was the only other talker in the hunt, snaring second place for the 23rd straight week.

Simran S. Sethi has been named to the newly created position of EVP, development and content strategy for ABC Entertainment. She most recently served as director of international originals, India and the Middle East, at Netflix.
 
Lionsgate promoted television execs Scott Herbst and Jocelyn Sabo. Herbst, formerly  SVP of television production, is now head of scripted development for its Television Group. Sabo, most recently VO of TV development, becomes SVP of television.
 
MediaCom USA named company veteran Adam Potashnick its US COO. Previously, he was chief growth officer, a position he has held since 2015. Potashnick joined MediaCom in 2006.
 
Endemol Shine North America named Amber Sheppo to the post of SVP, licensing. Sheppo previously served as VP, international licensing at 20th Century Fox.
 
AMC Networks International elevated Patrick Connolly SVP of programming and marketing. Connolly was named SVP of programming, AMC/SundanceTV Global in 2018.
 
Eric Green rises to president of BWR and Sunny Jenkins joins the team in the new role of chief growth officer, in news that comes as BWR and BCW team to launch BCW Entertainment, designed to move people and build brands through pop culture. Green previously led BWR’s entertainment division; Jenkins joins from HL Group, where she most recently served as EVP and client lead for West Coast relationships.
 
Ben Berna has been named Supervising Producer of CNBC’s Fast Money. Berna was most recently CNBC’s Director, Markets & Data News.
