Meredith Corp. and Gray Television are back in business. After a definitive merger agreement with Gray was announced on May 3, Meredith received an unsolicited proposal to acquire its Local Media Group division from another party. Gray sweetened its deal, increasing the total consideration payable by Gray from $2.7 to $2.825 billion, among other revisions. Meredith’s board approved the new proposal. “Gray continues to expect that the Meredith transaction, even as amended, will be significantly accretive to free cash flow per share,” said Gray. To date, Gray has identified an estimated $55 million in synergies annualized for the first full calendar year following the closing. The transaction is subject to approval by Meredith’s shareholders and regulatory approvals.

It appears Chris Harrison won’t be returning to hosting duties for “The Bachelor” franchise anytime soon. According to Variety, in addition to skipping the new season of “The Bachelorette,” premiering June 7, Harrison won’t be onboard for this summer’s season of “Bachelor in Paradise”; comedians, including David Spade, will guest host. Harrison stepped aside amid backlash over comments he made in February, defending a contestant who had been photographed at an antebellum-themed fraternity party in 2018. Harrison has said he is working to educate himself on race issues, and hopes to return to the franchise he has hosted since 2002.

The United States Football League is making a comeback, with plans for a spring 2022 kick-off and a broadcast partner in Fox Sports. The league debuted in 1983 but shut down after three seasons, due in part to a move to fall to compete with the NFL, and unsustainable payrolls. Fox is a minority owner in the company that owns the USFL.

Blame the bad guys – Netflix has canceled “Jupiter’s Legacy” after one season, reportedly to focus on a new “Supercrooks” series centered on the villains in the same universe. “We’ve made the tough call of letting our incredible cast out of their show commitment as we continue to thoughtfully develop all realms of the ‘Jupiter’s Legacy’ saga,” said creator Mark Millar on Twitter. “We’re confident we’ll return to it later.”

Eighty-two percent of US broadband households have at least one subscription streaming service, according to data from Parks Associates. Among those who don’t, the stats make sense: 77% are age 55+; 74% have household incomes of less than $75,000; and 93% don’t have children under 18 at home.

The Multicultural News Network signed a nationwide linear distribution agreement with Charter Communications to make MNN available to Spectrum customers upon the network’s commercial launch. “Charter has been an unconditional supporter of me and my companies since my first interactions with my broadcast TV station group in 2015,” said DuJuan A. McCoy, founder and chairman of MNN. “Working with their programming distribution department and multicultural team has been refreshing.”

Amazon Studios ordered a pilot for “The Horror of Dolores Roach,” based on the Gimlet podcast. Justine Machado (“One Day at a Time”) will star. The project comes from Blumhouse Television.

Hulu placed an order for cooking competition series “Baker’s Dozen,” hosted by Tamera Mowry-Housley (“Sister, Sister”) and former White House pastry chef Bill Yosses. Bright Spot Content (“Discovery’s Alaska: The Last Frontier”) is producing; exec producers include Sandy Varo Jarrell, Suzanne Rauscher, Justin Rae Barnes and Tara Seiner.

Casting notes: Dennis Quaid (“Goliath”) will play producer Rick Kirkham in Peacock’s “Joe Exotic” (wt)…LeToya Luckett (“Greenleaf”) landed a lead role in Fox drama “Our Kind of People.”…Tori Anderson (“No Tomorrow”) and Kian Talan (“Brainchild”) have been added to the cast of CBS spin-off “NCIS: Hawaii” as series regulars.

Jamie Lee Curtis’ Comet Pictures and Blumhouse Television landed rights to Patricia Cornwell’s Kay Scarpetta novels to adapt for television. Cornwell, Curtis, Jason Blum, Chris McCumber and Jeremy Gold will serve as executive producers.

NEW & RETURNING SERIES

FX set premiere dates for its summer slate. Coming up exclusively on FX on Hulu are new limited series “American Horror Stories” (Thursday, July 15), new comedy “Reservation Dogs” (Monday, August 9), new drama “Y: The Last Man” (Monday, September 13) and “Untitled B.J. Novak Anthology Series” (Thursday, September 16). Launching on FX are season ten of “American Horror Story: Double Feature” (Wednesday, August 25 at 10p), season three of “What We Do in the Shadows” (Thursday, September 2 at 10p) and season three of “Impeachment: American Crime Story” (Tuesday, September 7 at 10p). Season 12 of “Archer” bows Wednesday, August 25 at 10p on FXX.

Amazon Prime Day isn’t just about shopping. Billie Eilish, H.E.R., and Kid Cudi will star in Amazon’s “Prime Day Show,” a three-part immersive musical event presented by Amazon Music. All three episodes of the Prime Day Show will premiere globally starting June 17 on Prime Video (ahead of Amazon Prime Days, June 21 and 22) and will be available to all customers for 30 days, with or without a Prime membership.

Reality competition series “AwesomenessTV’s Next Influencer,” hosted by season one winner and TikTok star Owen Holt, returns for season two on the AwesomenessTV YouTube Channel Saturday, June 5 at 10a. Talk show “AwesomenessTV’s Vibe Room,” hosted by Holt and TikTok star Markell Washington, debuts Sunday, June 6 at 10a.

Martha Stewart puts on her gardening gloves for “Martha Gets Down and Dirty,” premiering Thursday, July 1 on discovery+. During the show’s eight episodes, the lifestyle icon will offer tips to celebrity friends like Kim Kardashian West, Seth Meyers and Tiffany Haddish as she prepares her farm for the season.

Another good thing: Floristry competition “Full Bloom” was picked up for season two by HBO Max. Sophomore run starts Thursday, June 10.

“Climate of Change: Ade on the Frontline,” hosted by Paralympic medalist and journalist Ade Adepitan, premieres Monday, June 7 on BBC Select. The docu-series explores natural and technical solutions to global problems.

New series “Landmarks: The Stages of Country Music,” celebrating famed country music venues, debuts on Circle Network Wednesday, June 9 at 8p.

“V for Valor” has launched on VET Tv, the steaming service that parodies the military experience. A satire of the broken awards system of the US military, “V for Valor” stars YouTube Influencer “Donut Operator.”

“Resonant Bodies,” showcasing performances from the final year of the international vocal festival of the same name, premieres Wednesdays, June 9-August 4 at 8p on the All Arts app.

COMING UP

National Geographic’s ninth annual Sharkfest! stunt launches Monday, July 5 with the first episode of “When Sharks Attack” at 8p. Special “Shark Beach with Chris Hemsworth,” following the “Thor” star as he embarks on a personal mission to investigate how we can live more harmoniously with sharks, airs at 9p. The six-week event features over 21 hours of new premieres, and 60 hours of enhanced content. For the first time, not only will the premium content continue to be available on National Geographic, Nat Geo WILD and Nat Geo Mundo, but select series and specials will be available post-premiere on Disney XD and Disney+ the following Fridays after linear premiere beginning July 9.

Stand-up comedian and “The Daily Show” writer Josh Johnson will have his first stand-up special on Comedy Central – with an assist from the boss. “Trevor Noah Presents Josh Johnson: # (Hashtag)” debuts Friday, June 18 at 11p.

Movie series event Keeping Up with the Joneses will debut on LMN on Thursday, July 8, and air for three consecutive Thursdays at 8p. The three-pack of films is produced by Hybrid and executive produced by and stars Vivica A. Fox as the matriarch of a wealthy family, who along with her four stepdaughters, will stop at nothing to protect their business. Kandi Burruss (“The Chi”) narrates.

Shudder has acquired psycho-thriller “Mosquito State” for its summer “new films every week” slated. The film, focused on an obsessive Wall Street data analyst, starts streaming Thursday, August 26.

Documentary “Civil War (Or, Who Do We Think We Are)” will premiere Thursday, June 17 on Peacock, and on MSNBC in October. The film explores how Americans tell the story of the Civil War.

STREAMING

Fox Entertainment-owned Tubi has entered into a content deal with Cohen Media Group that will add more than 80 titles from the distributor for AVOD. Tubi will be the exclusive free streaming home to titles like James Ivory’s “Howards End.”

DAZN struck a five-year deal with Matchroom Boxing to stream 16 fights a year in the UK and Ireland, taking the place of Sky as home to fights in the area. DAZN and Matchroom have teamed in the past in the US, Italy and Spain.

TECH TALK

Rockbot, creator of smart music and TV platform for businesses, is going sky-high. A partnership with Clear Channel Airports will expand Rockbot into airports, replacing CNN’s now shuttered news format with sports, news, entertainment, and lifestyle content from leading brands localized to each city. In addition, Rockbot’s platform gives airports a platform to enhance their traveler experience with music, audio messaging and digital signage.

GOING GLOBAL

A+E Networks UK ordered season three of true-crime seriesKiller Britain with Dermot Murnaghan” for Crime+Investigation, produced by FirstLookTV. The series will air every night at 9pm across a week in October.

Season two of Amsterdam-based detective seriesVan Der Valk” has begun production. Michele Buck is EP for Company Pictures and Chris Murray returns as lead writer and showrunner.

Love Nature made its debut on Telenor Sweden. Audiences on the platform will have access to Love Nature’s programming on the linear channel and on the platform’s VOD service as part of a three-year carriage deal.

New drag competition “Call Me Mother,” produced by Go Button Media and RedFlame TV, will debut this fall on Canada’s OUTtv.
