Good morning.  It’s Thursday, June 9, 2005 and this is your first early morning briefing.

Barry Diller’s IAC/InterActive Corp will sell its minority stake in Vivendi Universal Entertainment for a reported sum of $3.4 billion in cash and stock.  The battle between IAC and Vivendi Universal began a couple of years ago over the sale of IAC assets to Universal in 2001, and related tax payments therefor.  NBC was roped into the legal wranglings when it purchased Vivendi Universal last year, and acquired all but the portion owned by Diller. Diller’s IAC owned a 5.4% stake in Vivendi’s US owned cable and movie properties, as well as more than $2.5 billion in VUE preferred stock.  At the end of the day NBC will own 80% of NBC Universal, while Vivendi will have a minority share of 20%.  And, not to move Diller too far out of the picture, IAC will have a $100 million advertising credit to be used on both the NBC broadcast network and its various owned cable networks.

According to papers filed by Cablevision Systems and CSC Holdings yesterday, John C. Malone, Chairman of Liberty Media, has resigned his seat on the Board of Directors.  Per The New York Times, Malone says he left the board to remove any perceived improprieties or conflicts of interest between Liberty Media International, where he is CEO, and Cablevision/CSC Holdings.  Apparently that ‘conflict’ wasn’t as big a concern in March when Malone was named to the board by Charles Dolan who had hoped Malone could help him protect Voom from being shuttered.  Last month Cablevision announced it will close down Voom.

* NEW ORDERS / DEVELOPMENT / PRODUCTION *

ABC Family has ordered 8 eps of a new reality series called Kicked Out (High Noon Entertainment). Currently in production, the show is looking for a potential last summer debut.  Kicked Out features several families who are tired of their sponge-like 20-something kids, and will now kick them out of the house, forcing them to get jobs and a life of their own.

Touchstone Television has signed 2-year, 7 figure deals with Ian Sander and Kim Moses, under their shingle Sander/Moses Prods.  Their deal calls for them to be exec prods of The Ghost Whisperer, set to debut on CBS this fall and which they co-created with John Gray, as well as develop new projects.

CNN has signed Bob Costas to a one year deal as permanent substitute host for Larry King.  Costas will sit in for King at least 20 times annually, the first such sit-in will be this Sunday night.  Nobody is talking about Costas being the eventual heir to the King’s throne, at least not yet.  Costas says he’s taking the deal because there’s not a lot going on for him between the US Open Golf and the Winter Olympics.

* MORE GOOD STUFF *

No dates scheduled for his return, but David Chappelle and the folks at Comedy Central are now speaking face to face.  this is the first meeting of the minds since Chappelle’s unexpected trip to South Africa on a ‘spiritual retreat’, which caused production on the third season of his widely popular show, to come to a halt.  No word from either network or comedian on what transpired at that meeting.  Meanwhile, last week another 400,000 copies of Chappelle’s DVD of Season #2 of his show were sold, bringing the tally up to 1.4 million units sold to date.  The DVD of his first season sold a total of 2.9 million units, ranking it as the biggest selling DVD in history.

Nielsen Media Research and Univision Communications Inc. have inked an agreement that will provide ratings for its 34 Univision and TeleFutura owned-and-operated local stations.  Nielsen will measure the ratings with its Nielsen Station Index (NSI) and Nielsen Hispanic Station Index (NHSI) services including Nielsen’s Local People Meter in Chicago, Dallas, LA, New York and San Francisco.

GSN has picked up the off-net rights to 110 episodes of The Amazing Race, distributed by King World.  Included in the deal are the first seven seasons of the reality series, as well as the upcoming 8th season, and options to acquires seasons 9 and 10, assuming there are seasons 9 and 10. GSN will own the rights through 2009.  GSN plans to schedule each season of Race in its entirety, airing 7 nights a week at 9p, beginning July 11.

Couple of changes to the upcoming summer Fox Schedule:  Renovate My Family slides in on Mondays, August 8 (originally slated for Thursdays at 9p starting June 30).  Filling in on Thursdays at 9p as of June 30 will be back to back eps of That 70’s Show.  Arrested Development / Bernie Mac Show return to Friday nights as of July 29 at 9p and August 12 at 8p, respectively.

And a change at NBC:  Average Joe was set to return to the schedule on June 21 — strike that.  Move it to June 28 at 8p for the first of six eps.

With MTV and MTV2 leaving Canada by the end of June, Razer and PunchMuch have been named to take over their place.  The move follows MTV Networks International‘s termination of its affiliation with Craig Media when CHUM bought the Canadian company (see Cynopsis: MCE ‘s May 11 edition).   MTV Networks International had an out clause within its original joint venture and licensing agreements agreement if Craig Media was sold.  The new channels, Razer and PunchMuch, will debut on June 30.

Springfield, Missouri, has put itself on the map – at least in TV circles.  According to the TVB, Springfield is the first local television market where satellite TV (and wireless cable) has outpaced cable TV, with satellite accounting for 51.2% of the households.  Other markets are not too far behind – Pocatello Idaho and Missoula are both at 49.1%. Nationally, ADS (short for alternate delivery systems, including satellite and wireless) hovers around 20.5% of the households, up a little more than a point vs. May 2004.  In the same time frame, hard wired cable delivery dipped from 67.1% in May 2004 to 65.4%.

Per Tivo, the Top Ten Tivo-ed Shows for the Weeks of 5/29-6/11 were in rank order NBC’s Hit Me Baby One More Time, ABC’s Desperate Housewives, ABC’s Dancing with the Stars, ABC’s Grey’s Anatomy, ABC’s Lost, CBS’ CSI: Miami, Fox’s House, NBC’s Eagle’s Farewell Tour, CBS’ CSI, and a second ep of ABC’s Desperate housewives. 

And by the way, Tivo is expanding its reach — soon it will be available on mobile phones and pocket pcs which run on the Microsoft Windows mobile software.  Tivo subscribers with a Series2 box are able to use the mobile service, TiVoToGo which allows them to transfer content to their laptops, and pocket pcs and cellphones.

Casting Call:  A pilot for a new classic-styled Q&A game show – with a twist. An all gay panel.  The pilot is looking for people with personality and charisma to become a panelist for this new project – specifically they’re looking for a gay man, 60+ yrs, and a lesbian, 21+, both loaded with personality.  No actors ‘acting gay’ please. * EXECUTIVE MOVES*

Rainbow Media has named Theano Apostolou as VP/Public Relations for AMC and WE: Women’s Entertainment.  Theano will report to Ellen Kroner, SVP/Corporate Communications and Marketing for Rainbow Media.  She will work with both networks’ executive teams to develop, define and translate the brand and programming visions, and she’ll manage the consumer publicity staffs and talent relations at both networks. 

Diane McInerney has been named co-anchor of King World’s Inside Edition Weekend and substitute anchor for Deborah Norville on the daily version of Inside Edition.  The appointment was made by Executive Producer Charles Lachman. Diane will continue as a correspondent for the newsmagazine.

Ted Harbert, Pres/CEO of E! Networks, notified staff in an email yesterday that E! Networks COO Ken Bettsteller has resigned.  Ted’s email said, “After much thought, Ken has decided to take some time off and dedicate himself to areas of personal interest, like family and travel.”

FOX News named Vipp Jaswal as VP/International Distribution.  He will be responsible for growing the brand internationally and for Fox News’ distribution in Asia (the channel is currently in 71 countries outside of the US).  Vipp was previously senior international executive at HSBC Holdings. He will report to Janet Alshouse, SVP of international distribution. 

* RATINGS *

Tuesday- A18-49 Analysis:  Fox won the night on Tuesday, according to final numbers from Nielsen Media Research, posting an overall 2.8/9 A18-49, with a pair of repeats.  ABC was #2 with a 2.8/8, followed by CBS 2.5/8, NBC 1.9/6, UPN .9/3, WB .8/3.  Trading Spouses at 8pm on Fox was in front with a 2.5/8, with CBS’ NCIS close on its heals (2.1/7). At 9p the CBS premiere of Fire Me…Please delivered a 3.3/10 winning the hour by a single share point over Fox’s repeat of House. The Diane Sawyer/Brad Pitt interview on Primetime Live Special Edition at 10p led with a 4.2/12.  A repeat of L&O: SVU helped to salvage the night for NBC by posting a 3.2/9 (up from a miserable leadin of 1.3/4 for the Unauthorized Story of Mork & Mindy), and CBS’ repeat of 48 Hours pulled in a 2.1/6.
