Disney and The Jim Henson Company announced yesterday that
they had inked a binding purchase agreement whereby Disney will
acquire the Muppets and Bear in the Big Blue House
properties from Henson. The deal includes all Muppet assets,
including Kermit, Miss Piggy, Fozzie Bear, Gonzo and Animal characters,
the Muppet film and TV library and all related copyrights and
trademarks. Similarly the deal includes Bear in the Big Blue House
characters, TV library, copyrights and trademarks. The deal also
contains a non-exclusive production and consulting codicil under which
Henson will develop programs featuring the Muppets and Bear in the Big
Blue House for Disney. Lisa Henson, who with her brother Brian is
co-chair and co-CEO of Henson says that the deal completes her father’s
vision explaining, ‘In the months before his death in 1990, my father Jim
Henson pursued extensive discussions with The Walt Disney Company based
on his strong belief that Disney would be a perfect home for the
Muppets,’ Henson also added that this deal, ‘is the realization of my
father’s dream, and ensures that the Muppet characters will live,
flourish and continue to delight audiences everywhere, forever.’
Henson will retain all other assets of the company including Jim Henson’s
Creature Shop and ownership and rights to all other characters and
entertainment properties in its film and TV library (e.g. Fraggle Rock,
Farscape, Dark Crystal, Labyrinth, Storyteller and The Hoobs).
Henson also says it will actively pursue partnerships and other strategic
arrangements to exploit these and other existing and new properties and
to build their value over the long term. Additionally the agreement
does not include the Sesame Street characters (like Big Bird & Elmo),
which are owned by Sesame Workshop.
It is finally signed, sealed and delivered and you won’t have to hear
about it anymore! By a shareholders vote of more than 99% (call it 100%),
at a special shareholders meeting, in favor of the arrangement providing
for the acquisition of Cinar by an investor group consisting of
Michael Hirsh, Toper Taylor and TD Capital Canadian Private Equity
Partners.
The UK’s Five introduces Monkey Makes, a new live action
preschool series (40 x 6min.) in its Milkshake block Monday-Friday,
beginning March 1, 9:20a.
TLC’s weekday preschool block Ready Set Learn (6-9a) will premiere
Peep and the Big Wide World, a new animated series from WGBH, on
Monday, April 5, 8a. Based on the characters created by Oscar
nominated animator Kai Pindal, the goal of Peep is to use preschoolers
innate curiosity and science literacy concepts to make them aware of the
world around them through animated and short live action segments.
Peep is produced by WGBH and 9 Story Entertainment in association with TV
Ontario and Discovery Kids, with closed captioning for the deaf &
hard of hearing audience, by the Media Access Group at WGBH. Major
funding for the series is provided by the National Science Foundation.
Peep is distributed by Alliance Atlantis.
Jakks Pacific has signed a worldwide licensing agreement
with Midway Games to produce a version of Jakks’ TV Games
that will be based on the more classic Midway titles (e.g. Paperboy
Robotron:2084, Marble Madness, Smash TV, Super Sprint, Mortal Kombat, Spy
Hunter, Rampage, Joust, and Defender I & II [Note: not all titles
for younger kids]), which were introduced this week at Toy
Fair. Last week Jakks announced a new licensing agreement with
Namco Limited, whereby Jakks acquired the right to sell the Namco TV
Games in several international territories. Namco TV Games includes
five of Namco’s 1980s games Pac-Man, Dig Dug, Galaxian, Rally-X,
Bosconian. Jakks’ TV Games line also includes Atari TV Games and
Activision TV Games.
Callaway Arts & Entertainment and Nelvana have signed
an international master toy deal with Fisher Price for
Miss Spider’s Sunny Patch Friends. The toy company plans to
develop an array of infant and preschool products based on the television
series, which debuts this fall on Nick Jr. in the US and as part of new
deal in France on TF1, fall 2005. The retail product line (toys,
playsets, plush & software) is slated for fall 2005. There are
several new deals in place for Miss Spider’s Sunny Patch Friends
property, which celebrated the 10th anniversary of the initial
publication of the book this year:
-Callaway, which will publish a new series of illustrated storybooks
based on the new CGI TV series, has solidified a publishing partnership
with Penguin Group worldwide. The books will be distributed
by Penguin in North America, with Puffin serving as the UK
publisher.
-Callaway has licensed English-language mass market rights to Miss Spider
throughout the world to the Penguin Group (Grosset & Dunlap in the US
and Ladybird in the UK), for an array of activity, pop-up and other
novelty formats. The rights were negotiated by The Wylie
Agency.
-Following up the launch last year of Sunny Patch lifestyle products in
Target stores, a second line of products launches this year
exclusively at Target. The new line of products features gardening
and automotive tools and accessories.
