Dish Network CEO Joe Clayton is retiring at the end of March, replaced by founder and chairman Charlie Ergen, who stepped away from day-to-day control in 2011. “Over the last four years, Joe’s leadership has been instrumental to Dish as we have worked to engineer a fundamental transformation of our business,” said Ergen. “He has set the stage for what will become a new company, and with that he has prepared a new class of management to address the adventures coming our way.” While Dish’s subscriber base dropped by 79,000 in 2014, ending with 14 million subs, net income for 2014 was $945 million, up 17 percent from the prior year, reported the company.

IN THE NEWS

Jon Steinlauf landed the top ad sales job at Scripps Networks Interactive. Steinlauf, named EVP of ad sales & marketing in 2011, will lead teams across Scripps’ HGTV, DIY, Food, Cooking, Travel and Great American Country as president of national ad sales and marketing. He succeeds Steve Gigliotti, named chief revenue officer for the company last week.

Robert Sharenow was appointed EVP & GM of A&E and Lifetime, replacing David McKillop in the A&E role. Since June 2013, Sharenow had been EVP & GM of Lifetime. “After 10 years of tremendous growth  we have a renewed focus on re-establishing A&E as a top-tier brand,” said Paul Buccieri, newly installed president of A&E and History. “Rob is the ideal candidate for the job. Before his tenure at Lifetime, Rob was instrumental in the success of A&E for nearly a decade.” McKillop will “return to his roots as a producer,” said Buccieri in a memo to staff.

Brad Schwartz has been upped to president of Pop, rebranded from TVGN in January. Schwartz, who had been president of entertainment and media at the net, adds responsibilities previously handled by business operations president David Wisnia, leaving “to pursue other interests.” Schwartz’s leadership during the rebrand “reflects his clear strategic vision for the network as well as his strong programming skills and business acumen,” said CBS president and CEO Leslie Moonves and Lionsgate CEO Jon Feltheimer.“We’re pleased to expand his mandate to include oversight of the integrated creative and business operations.”

The National Association of African-American Owned Media and Entertainment Studios filed a $20 billion racial discrimination lawsuit against Comcast, Time Warner Cable, Al Sharpton’s National Action Network and the NAACP, among others, alleging payment for sham diversity agreements. “We do not generally comment on pending litigation,” responded Comcast, “but this complaint represents nothing more than a string of inflammatory, inaccurate, and unsupported allegations.”

Much ado about nothing: There is “no truth”to an Australian Financial Review report that Twenty-First Century Fox held preliminary talks with Discovery Communications about a potential takeover bid. “Not even any sort of talks,” said a Fox spokesman about the AFR story. Discovery declined comment.

Fox News has Bill O’Reilly’s back. Facing allegations that the conservative pundit exaggerated war reporting experiences as a CBS News correspondent, a spokesperson for the news net said, “Fox News Chairman and CEO Roger Ailes and all senior management are in full support” of the O’Reilly Factor host. For his part, O’Reilly has called allegations that his accounts of time during the Falklands War are inaccurate, “such a smear it is unbelievable.” Over the weekend, three former CBS News employees spoke to CNN, questioning O’Reilly’s version of events.

Meanwhile Brian Williams, suspended for six months without pay from his post as NBC News anchor and managing editor for an embellished account of events during the Iraq War, resigned as a member of the Congressional Medal of Honor Foundation’s board of directors. Williams, who apologized for the misrepresentation, had been on the board since 2006.

Can veteran sports producer Michael Weisman (Olympics, World Series, Super Bowl) lead Morning Joe back to ratings victory? MSNBC is betting on it, naming Weisman to the newly created position of executive in charge, as CNN’s New Day continues its months-long lead in viewers. Alan Korson remains in his exec producer position at the news analysis program.

PRODUCTION & DEVELOPMENT

Shameless star William H. Macy makes his TV directing debut on the season five episode airing Sunday, March 1 at 9p on Showtime.

CW added two relationship shows to its summer slate. Reality series A Wicked Offer, from T Group Productions, tests how far couples will go for money, while U.K. comedy Dates, starring Oona Chaplin (Game of Thrones) and Ben Chaplin (Thin Red Line) focuses on the first dates of pairs who met online.

COMING UP

Season two of AMC Revolutionary War drama Turn: Washington’s Spies launches with a two-hour premiere Monday, April 13 at 9p, settling into its regular 10p slot the following week as part of the net’s original programming expansion on the night. Viewers can catch up on season one via AMC On Demand and AMC.com through Tuesday, March 24, and on Netflix beginning March 25.

BBC America is taking on the 49th state with Wild Alaska, a three-parter premiering Tuesday, March 10 at 10p. The series, narrated by Dougray Scott, explores the range of species that thrive in the area’s extreme conditions.

Destination America and USA Today are partnering for the third annual “Red White and You” contest. The competition, running now through Sunday, April 5, will offer two winning towns fanfare-filled Fourth of July celebrations. Nomination form can be found on the net’s web site.

Arts channel Canal 22 Internacional premieres the Spanish version of Elsa & Fred  on Saturday, February 28 at 8p. Film tells the story of a feisty retiree and her new neighbor, an uptight widower.

CW special TV’s Hottest Commercials Countdown airs tonight at 8p, with never-before-seen spots from 17 different countries. What to expect? “Using sex in commercials to sell a product is nothing new,” Robert Horowitz, president of Juma Entertainment and exec producer of the show, tells Cynopsis. “But as viewers will see tonight, commercials from other countries push the envelope and are often hotter and sexier than what we see in the U.S. These spots are definitely going to have people talking.”

Wall Street Week, which left the air in 2005, is returning with SkyBridge Capital founder Anthony Scaramucci as host on Sunday, April 19. The half-hour news show will air on local television stations and stream for global viewing on WallStreetWeek.com with a development team led by SkyBridge’s Susan Krakower and Raymond Borelli, former CNBC execs; editorial content will be guided by an advisory board comprised of financial industry leaders.

BRANDS AND ADVERTISING

The forecast is sunny for advertising in 2015, according to a report from J.P. Morgan based on analysis of earning calls in 4Q14. About 75 percent of the top 100 brands will increase marketing spend, with automotive, beverages, technology, software, healthcare and telecommunications “particularly encouraging.” With a focus on digital, native ads and video on smartphones are expected to attract the most online dollars.

Birdman might have been the big winner at Sunday’s Academy Awards, but when it comes to ads, AT&T Mobile’s spot with Mark Cuban took the top prize, according to TiVo research. The next four ads with the biggest bumps in viewership were the McDonald’s “Lovin’ Takes the Right Ingredients,” spot, Cadillac’s “Dare Greatly,” Google’s “Ask the Google App” and Pixar’s “Inside Out.”

Wesley Snipes (Blade) hopped aboard NBC drama pilot Endgame, a thriller from Davis Entertainment and Sony Television set in Las Vegas.

Calista Flockhart (Brothers & Sisters) landed a co-starring role opposite Melissa Banoist in CBS’s Supergirl. Brothers & Sisters exec producer Greg Berlanti is an exec producer on the project.

German-born YouTube personality Flula Borg will star in NBC comedy pilot Cuckoo, an adaptation of the BBC Three comedy that starred Brooklyn Nine-Nine’s Andy Samberg.

Sunday’s Academy Awards averaged 36.6 million viewers, a six-year low, swooning 17 percent among A18-49 to a 10.8 rating  but was still TV’s top entertainment telecast since last year’s Oscars. Digitally it was a different trajectory, with visits to Oscar.com up 8 percent, to 18.3 million, including 7.1 million (up 1 percent) on Sunday.

ABC’s Jimmy Kimmel Live: After the Oscars basked in awards show afterglow, earning its second largest audience ever (5.8 million viewers).

The second Monday airing of AMC freshman Better Call Saul drew 5.8 million viewers and 3.7 million among A18-49 in Live+3, up 1 percent from the week prior.

New ID series See No Evil broke net records for Live+3 performance with a 1.25 P25-54 rating, 1.59 among W25-54 rating and 1.03 P18-49. The premiere delivered 1.81 million P2+ viewers and 1.087 million P25-54 viewers, ID’s best prime telecast ever in delivery and ratings across P25-54, W25-54, M25-54, P18-49, W18-49 and M18-49, as well as P2+ delivery for Live+3.

Actor Paul Napier died February 21. He was 85. Napier, General Motors’ first Mr. Goodwrench, appeared on over 400 commercials, as well as television shows including L.A. Law, Taxi and Coach.

Actor Ben Woolf died February 23. He was 34. Woolf, who played Meep in American Horror Story: Freak Show, was hospitalized in critical condition on February 19 after being hit in the head by the side mirror of a passing vehicle in Hollywood. "We have been overwhelmed by the outpouring of love and support from all over the world," said his family in a statement Monday.
